Biography
Philippe Simon advises on mergers and acquisitions, corporate restructurings, capital raising and, more generally, on all matters relating to the establishment, financing, operation and dissolution of corporate and association structures.
Philippe Simon assists his clients in the strategic decisions based on these structures, negotiates and drafts the agreements necessary for their operation (shareholders’ agreements, service agreements), carries out capital transactions (equity or debt issuance, simple or complex securities), ensures the implementation of employee share ownership plans (free shares, BSPCE, stock options). He also advises on disputes arising from these transactions (e.g. shareholder disputes or withdrawal of shareholders).
Philippe advises on corporate structures under commercial law, non-profit organisations (e.g. associations and foundations), mixed-economy companies, unincorporated bodies (e.g. joint ventures) and on various regulated sectors (e.g. health and sport).
Philippe has developed his expertise thanks to extensive experience (legal director of a large aviation group before entering the legal profession; diverse clients ranging from large listed groups to start-ups). He is able to support his clients with precise and pragmatic advice on decisions.
